Cessione di ramo d'azienda bancaria - Integrazione
Con pubblicazione sulla Gazzetta Ufficiale Parte II n° 79 del 6
luglio 2019 e' stata data comunicazione della cessione di ramo
d'azienda bancaria ai sensi e per gli effetti degli articoli 2556 e
ss. del codice civile, dell'art. 58 del D. Lgs. 1 settembre 1993 n.
385 ("Testo Unico Bancario" - in breve "TUB") corredata
dall'informativa ai debitori ceduti sul trattamento dei dati
personali, ai sensi degli articoli 13 e 14 del Regolamento UE n.
679/2016 ("GDPR") e della normativa nazionale applicabile (D.Lgs.
196/2003 cosi' come aggiornato e integrato dal D.Lgs. 101/2018).
La Banca Popolare di Puglia e Basilicata S.C.p.A. (la
"Cessionaria") comunicava il perfezionamento, avvenuto in data 26
giugno 2019 del contratto di cessione di ramo d'azienda, con atto
redatto con scrittura privata autenticata dal Dr. Patrizia Speranza,
Notaio in Altamura (rep. n. 89135, raccolta n. 31198) l'"Atto di
cessione" stipulato tra la Cessionaria e Apulia Pronto Prestito
S.p.A. (la "Cedente") con sede legale in via Tiberio Solis n. 40, San
Severo (FG), capitale sociale euro 236.000.000, iscritta al n.
02875460244 (Codice Fiscale e Partita IVA) al Registro delle Imprese
di Foggia.
Con detto atto la Cessionaria e' subentrata alla Cedente, a
decorrere dal 1°luglio 2019, esclusivamente nel complesso delle
attivita', passivita', contratti, diritti ed obblighi del Ramo
d'Azienda individuati nell'Atto di Cessione all'art. 2.1, con
espressa esclusione di ogni bene, contratto, rapporto, credito,
debito o responsabilita' non ricompresi nell'art. 2.1 (ivi incluso
ogni debito, obbligazione, passivita' o responsabilita' diverso dalle
Passivita' Trasferite).
In particolare, il Ramo d'Azienda trasferito alla Cessionaria, come
riportato nell'Atto di Cessione, non include i contratti di
finanziamento verso la clientela integralmente rimborsati o
anticipatamente estinti anteriormente alla data del 1° luglio 2019
nonche' i debiti e altre passivita' - pregresse, attuali o future -
ad essi riconducibili.
A maggior chiarimento, si riportano di seguito i rapporti di
finanziamento inclusi nel Ramo d'Azienda trasferito alla Cessionaria,
come riportato nell'Atto di Cessione, classificati sia tra i crediti
in bonis che deteriorati e costituiti da contratti di finanziamento
